Terms of Service
These Terms govern your access to and use of FreshFiled (the "Service"), a subscription data feed of newly registered Florida businesses compiled from public records. By subscribing to or using the Service, you agree to these Terms.
1. The Service
FreshFiled compiles new business-formation records published by the Florida Department of State, Division of Corporations, and delivers them to subscribers by email and through a private dashboard on a recurring basis. The Service organizes and formats publicly available information; it does not access any private, confidential, or login-protected data.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. You are responsible for keeping your private dashboard link and account credentials secure, and for all activity under your subscription.
3. Free sample
We may offer a free, time-limited sample (currently five days) so you can evaluate the Service before paying. No payment card is required for the sample, and we may modify or discontinue sample offers at any time.
4. Subscriptions, billing, and renewal
- Paid plans are billed in advance: $349 per month or $3,490 per year (pricing may change for new sign-ups with notice).
- Subscriptions renew automatically each billing period until cancelled.
- Payments are processed by Stripe. By subscribing you authorize recurring charges to your payment method.
- Founding-member pricing, where offered, remains in effect for that subscriber for as long as the subscription stays active and uninterrupted.
5. Cancellation and refunds
- You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.
- Monthly fees already paid are non-refundable.
- Annual plans are refundable within 14 days of the initial charge if you are not satisfied. Email hello@getfreshfiled.com.
6. Acceptable use
The data feed is licensed for your own business use. You agree that you will not:
- resell, redistribute, sublicense, or publish the feed or any substantial part of it to third parties;
- scrape, mirror, or use the Service to build a competing dataset or product;
- share your dashboard link or login with anyone outside your organization; or
- use the data for any unlawful purpose.
When you contact businesses or individuals identified through the Service, you are solely responsible for complying with all applicable laws, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), state and federal Do-Not-Call rules, and any other marketing, privacy, and communications regulations that apply to you.
7. Data accuracy
The data is compiled from third-party public records and is provided "as is." Records may contain errors, omissions, or duplicates originating from the source, and timeliness depends on when the source publishes its files. We do not warrant the accuracy, completeness, or fitness of the data for any particular purpose, and we are not a consumer reporting agency; the data may not be used for any purpose regulated by the Fair Credit Reporting Act (FCRA).
8. Availability
We aim to deliver the feed every weekday but do not guarantee uninterrupted or error-free service. Delivery may be delayed or interrupted by source-data availability, maintenance, or events outside our control.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied. FreshFiled will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenues. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months preceding the claim.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date and, where appropriate, communicated by email. Continued use of the Service after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Florida.
